Terms of use
Last updated: 27 October 2026
These terms are the agreement between Eshmere Ltd ("Eshmere", "we", "us") and the organisation that uses Winquill ("you"). You agree to them for your organisation when you do any of these:
- create an account or a workspace;
- use Winquill in ChatGPT, Claude or Muse;
- connect Winquill to Slack or Microsoft Teams;
- pay for a plan.
If you can't agree to them for your organisation, please don't use Winquill. Our privacy policy explains how we handle personal data.
Winquill was called Tenda until 27 October 2026. These terms cover it under either name.
1. About Winquill
Winquill helps businesses find, qualify and bid for public sector contracts in the UK, the US, Canada and the European Union. It:
- gathers the tender and award notices that public bodies publish;
- scores how well they fit your company;
- keeps track of your bids;
- gives facts and briefs to AI assistants such as ChatGPT, Claude and Muse, which write the words;
- on paid plans, drafts whole bids with its own AI, for your team to review.
Winquill is run by Eshmere Ltd, a company registered in England and Wales, company number 17239365. Our registered office is Osbourne Suite, 2.08 Imperial and Whitehall, 23 Colmore Row, Birmingham, B3 2BS.
2. Who can use Winquill
- Winquill is for businesses and other organisations, and for the people who work for them. It isn't offered to consumers.
- You must be 18 or over.
3. Your account and workspace
- Keep your sign-in secure. You're responsible for what happens in your workspace, including what its members do.
- Owners and admins decide who joins the workspace and what each person can do.
- Tell us straight away if you think someone else has got into your account.
4. Plans, trial and payment
- Plans. There's a Free plan and paid plans: Winquill Plus and Winquill Pro for one person, and Team Plus and Team Pro for teams, as shown in Winquill under Settings, then Plan. A team plan includes a number of people, and each person beyond them adds to the price. Prices are in the currency of your workspace's home country: pounds sterling, US dollars, Canadian dollars, euros or Kenyan shillings. You pay for a month or a year, and a year costs the same as ten months. Where VAT applies, it's added at the rate in force.
- Trial. A new account gets a 7-day free trial when you sign up, without giving a card, with enough drafting for one whole bid. Its 7 days start when your team starts its first bid draft or adds its first tender to its pipeline. It's a trial of Winquill Plus or Team Plus, to suit the size of your organisation, and the owner can switch it once between the two while it runs. The Team Plus trial is for businesses: the owner signs in with a work email, and the workspace's company must be listed as active on Companies House or SAM.gov. Each company gets one Team Plus trial. There's one trial for each account and one for each person. After that the account moves back to the Free plan, unless you choose a paid plan. An account that started before 6 October 2026 keeps its 14 days of Team Plus until they end.
- Paying. Stripe takes payment in advance, for each month or year. The subscription renews automatically until you cancel.
- Changing plan. A change takes effect at once, and Stripe adjusts the charge for the rest of the period. Moving between paying monthly and yearly starts the new period that day, less what's left of the old one.
- Cancelling. You can cancel at any time from Settings, then Plan. Your plan carries on until the end of the period you've paid for, then moves to Free. We don't refund part periods, except where the law requires us to.
- Pausing. An owner can pause a monthly plan for 1 to 3 months from Settings, then Plan. Nothing is charged while it's paused, and the account works under the Free plan, with all its workspaces and work kept. It starts again by itself on the day you chose, or sooner if you resume it. A yearly plan is paid in advance, so it can't be paused.
- Deleting an account's last workspace. Deleting the last workspace on an account, yourself or by deleting your own account, ends its paid plan at once, not at the end of the period. We don't refund the rest of the period, except where the law requires us to, and credits the account hasn't used go with it.
- Failed payments. If a payment fails, Stripe tries again, and your plan carries on in the meantime. If payment still fails, the account moves to Free.
- Limits. A workspace with more than its plan allows, such as more people or more bids, keeps what it has. It can't add more until it's back within the limit.
- Winquill's AI. On every paid plan, Winquill's AI answers in Ask Winquill in the dashboard, and on Team Plus and Team Pro in Slack and Teams too, within a fair-use allowance: a number of answers each month that the account's people share, and a daily limit for each person. Winquill Memory lets it remember what matters to your team, as our privacy policy describes.
- Drafting and credits. Each paid plan includes an amount of drafting each month for the bids Winquill drafts. It starts again on the 1st, and what's unused doesn't carry over. A whole bid of up to 10 questions uses 100, which includes Winquill's checks and 10 rewrites. Each question after the tenth uses 10 more, and each rewrite after the tenth uses 5. On a paid plan, owners can also buy packs of 500 credits, which are used once the month's drafting runs out and stay on the account until they're used. If a draft can't be finished, what it used is given back.
- Early access. While Winquill is in early access, we may let workspaces use more than their plan includes.
- Price changes. We'll tell you at least 30 days before a price changes. The new price applies from the start of your next period after that.
5. What Winquill does, and what it doesn't
- Check the source. Tender information comes from public sources. It can be incomplete, late or wrong, and buyers change their notices. Always check the buyer's own notice and documents before you rely on a deadline, a requirement or a value.
- It's guidance. Fit scores, readiness checks, summaries and briefs help you decide. They aren't legal, financial or procurement advice, and they don't predict or guarantee that you'll win. Winquill's AI in Slack and Teams can get things wrong, so check anything important in Winquill or the buyer's notice. Bids Winquill drafts are drafts: they can get things wrong, and they mark what your team must confirm.
- Your bids are yours. You're responsible for bid text written by Winquill, in ChatGPT, Claude or Muse, or anywhere else with Winquill's help. A person in your organisation should review every bid before it's submitted.
- Follow the rules. You're responsible for meeting each buyer's rules, and the law on public procurement, including the Procurement Act 2023 where it applies.
6. Your content
- You keep ownership of what you put into Winquill, such as your company profile, pipeline, answers, notes, documents and the bids you share ("your content").
- You let us store, copy and process your content only to run Winquill for you, keep it secure and fix problems. What Winquill learns from bids you share is used only for your own workspace's drafts.
- You confirm that you have the right to put your content into Winquill, and that doing so doesn't breach anyone's confidentiality, intellectual property or other rights. Only add tender documents that the buyer has published, or that you're allowed to share, and bids that your organisation wrote or is allowed to share.
- If you add tender documents without signing in, Winquill uses them only to answer you, and keeps nothing from them.
7. Acceptable use
You must not:
- use Winquill for anything unlawful, or to mislead a buyer;
- copy, scrape, resell or republish Winquill's data or answers in bulk, or use them to build a competing service;
- try to get round Winquill's security, its plan limits or the separation between workspaces, or test them without our written permission;
- overload Winquill, or call it with automated tools beyond normal use through ChatGPT, Claude, Muse, Slack or Teams;
- put malware or anything else harmful into Winquill;
- use Winquill to send messages that people haven't agreed to receive.
8. ChatGPT, Claude, Muse, Slack, Teams and calendars
Winquill works inside services that others run: ChatGPT (OpenAI), Claude (Anthropic), Muse (Meta), Slack, Microsoft Teams, and calendar apps. Their own terms apply to your use of them, and we aren't responsible for them.
When you connect Winquill to a Slack workspace or a Teams team, you confirm that you're allowed to. You also let Winquill post the alerts and answers you've chosen to the channel you picked. You can disconnect it at any time in Winquill, under Settings, then Connections.
9. Public sector information

10. Our rights in Winquill
Winquill belongs to Eshmere or our licensors. That includes its software, design, scores and briefs, and the way it organises information. While these terms apply, you may use Winquill for your organisation's own business. This right is not exclusive, and you can't transfer it.
If you send us suggestions for Winquill, we may use them freely.
11. Availability and changes
We work to keep Winquill available and correct, but we can't promise that it will always be available or free of errors. We may change Winquill, including adding or removing features. If a change takes away something important from a paid plan, we'll tell you in advance, and you can cancel.
12. Suspending or ending
- You can stop using Winquill at any time. You can delete your own account, and owners can delete a workspace, in Settings, or you can email us. Deleting the last workspace on an account ends its paid plan at once (section 4). Our privacy policy says what we delete and when.
- We may suspend or end your access in the cases below. Where we reasonably can, we'll tell you first and give you a chance to put things right.
- You seriously or repeatedly break these terms.
- You don't pay.
- We must, for legal or security reasons.
- If we stop offering Winquill, we'll give you at least 30 days' notice. We'll refund any fees you've paid for the time after it stops.
- What lasts after these terms end: sections 6, 10, 13, 14 and 16, and anything else that by its nature should.
13. Liability
- What we never limit: liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow us to limit.
- What we aren't liable for:
- loss of profits, revenue, contracts or business opportunities, including not winning a tender or missing a deadline;
- loss of data that you could have kept or restored;
- any indirect or consequential loss.
- Our limit: otherwise, our total liability to you in any 12 months is the greater of £100 and what you paid us for Winquill in the 12 months before the claim.
14. Data protection
Each of us will comply with UK data protection law.
For the personal data in your workspace's content, you are the controller and we are your processor. As your processor, we will:
- process it only on your documented instructions, which are these terms and the way you use Winquill, unless the law requires otherwise;
- make sure that everyone who handles it is bound to keep it confidential;
- keep it secure, as our privacy policy describes;
- use only the service providers named in our privacy policy, and tell you before we add or replace one, so that you can object;
- help you respond to people who use their data protection rights, and help you with security, breach notifications and impact assessments;
- tell you without undue delay after we become aware of a personal data breach that affects it;
- delete it when the service ends and you ask us to, unless the law requires us to keep it;
- give you the information you need to show that these obligations are met, and allow reasonable audits.
The processing:
- What and why: providing Winquill, to store and organise your work on tenders and bids, for as long as you use it.
- Whose data: your organisation's staff, and people named in your content.
- What data: names, email addresses, roles and work details, and contact details in your content.
15. Changes to these terms
We may update these terms. We'll post the new version here with a new date. If a change matters to you, we'll tell account owners at least 30 days before it applies, and you can cancel before then if you don't agree.
16. General
- These terms and our privacy policy are the whole agreement between us about Winquill.
- If part of these terms can't be enforced, the rest still applies.
- Neither of us is responsible for delays caused by events outside our reasonable control.
- You can't transfer these terms without our agreement. We may transfer them to a business that takes over Winquill, and we'll tell you if we do.
- No one else has rights under these terms.
- The law of England and Wales governs these terms, and the courts of England and Wales have exclusive jurisdiction.
